Terms and Conditions

This overview outlines the key phases of the interior design process, including the scope of services, terms of cooperation, and billing model. It serves as a guide for understanding how we collaborate with clients to create unique, functional, and aesthetic spaces.

By engaging in our services, you acknowledge and agree to the terms outlined here. Please review this information carefully to ensure clarity and alignment before proceeding with the project.

0. Initial Consultation


This is the first exploration phase, which includes:


    1. First contact with the client: A conversation aimed at preliminarily understanding the client's lifestyle, needs, vision, and   

        expectations regarding the future project.

    2. Gathering basic information: Defining the general timeline, budget, and scope of the project.

    3. Preliminary identification of the scope of work: Discussing the client's expectations and defining the scope of design  

       services. Based on the questionnaire filled out by the client or answers to key questions, we will prepare a proposal for the   

       interior design project. At this stage, we also analyse the provided property plans (if available) and discuss the need for 

       cooperation with a structural engineer, architect, MEP designers, and the local authority in case of changes requiring 

       submission or construction permits.

   4. Discussion:


       - Terms of cooperation:

               We establish the general terms of the contract and the stages of the design work.


      - Scope of services:

              We explain to the client the available options for cooperation, such as:

  • Concept and Brief Development
  • Conceptual design
  • Technical documentation
  • Author supervision
  • Conducting the final inspection with the client
  • Final interior finishing: furniture arrangement, interior decoration


      - Billing model:

  • We present the method of charging fees (lump-sum, hourly, or percentage of the contract value in case of large projects) and indicate the range of services included in the price.
  • We inform that the detailed payment schedule will be adjusted after precisely determining the project scope.
  • We explain that the client is responsible for any costs related to specialist/consultant services cooperating on the project, as well as costs related to fees required by the local authorities. These fees should be paid directly to the respective parties.


Note: The cost estimate may change as the work progresses, e.g., in the case of additional services charged hourly or percentage based.


      - Transparency of fees:

  • We discuss fees at the first meeting to avoid misunderstandings and clearly define what the cooperation includes and what the client will pay for.
  • Meetings with the client will be billed based on an hourly rate. An invoice will be sent after each meeting, and payment of the invoice is a condition for proceeding to the next stages of cooperation.
  • The project will commence officially only after the client’s payment is received. Each stage of the project requires full upfront payment before proceeding to the next phase.

Goal:

  • To build the foundation for further cooperation and establish the general direction of the project.
  • To obtain a formal order from the client, which initiates the commencement of the design work.


Note:

All data obtained from the client at this stage is treated as confidential and processed in accordance with applicable data privacy policy.



0.1. Project Work Estimation


         After the first meeting:

        Based on the collected information, a proposal for the project will be prepared, and if the client accepts it and explicitly  

        declares the willingness to cooperate, the next stage will be the preparation and signing of a contract, which includes,   

        among other things, all details regarding the project process, the flow of information between the client and designer, 

        the timeline within which the client should make decisions, and the designer should create the project, as well as the 

        payment schedule.

        After signing the contract, the first invoice with the first instalment will be sent to the client.


 

  

1. Formulating the Project Brief


The design brief is a key phase in defining the client's requirements and guiding the development of the project, which:


  • Serves as the foundation for the conceptual design, which gradually evolves through feedback and consultations. 
  • Once finalized, it provides clear parameters, helping to maintain focus and avoid unplanned changes in later stages of the process.
  • Defines the project's goal as well as the key functional and aesthetic requirements.
  • Thoroughly analyses the client's lifestyle, daily activities, and needs.
  • Specifies the functions that the space must fulfil, gives it a unique character, and improves the mood (atmosphere).
  • Gathers inspiration and references – visual cues such as photos, mood boards, preferred materials, colours, chosen furnishings, etc., in order to establish the primary stylistic direction.
  • Collects detailed contextual information, analyses spatial layouts, and defines the technical expectations regarding the space and installations that will make it functional and comfortable.
  • Identifies the real need for collaboration with specialists in the event of changes to the layout of walls, installation systems, or extensions.
  • Consolidates the gathered information into a comprehensive framework. Ensures that the vision, goals, and priorities of the client are aligned with spatial, technical, and budgetary constraints.


Goal: To build a solid foundation for the next design phase and detailed action plan.


1.1. Moment of the second advance payment:
       The advance payment is required before starting work on the concept.



 

2. Concept Design


This is a key phase of the entire project, divided into three/four stages, involving multiple meetings with the client.


First Stage

Site Survey. A meeting with the client at the site to:

  • Conduct an initial visual inspection and analyse the space/property (familiarizing with its condition, layout, orientation in relation to sunlight/cardinal directions, and better understanding the client’s vision). Note any existing furniture and/or equipment that will remain in the space.
  • Perform a site survey, including measurements, photographs, and identification of any potential project, structural, or environmental constraints/challenges, and document existing, important, and critical elements of the current state (e.g., dark or overly small rooms, lack of windows for lighting and ventilation, etc.).
  • Identify the location of the property’s connections to the building’s systems (mechanical, electrical, and plumbing (MEP)), primarily external connections such as water and sewage, main water valves (and their accessibility).
  • For more advanced projects, develop an action plan focusing on aspects requiring special attention or further analysis, such as internal and/or external structural changes (collaboration with consultants and the local planning office).


Objective: Gain an in-depth understanding of the site, uncover its potential, and identify its limitations.


Second Stage

Concept Design. A meeting with the client to analyse and discuss the initial prepared design concepts to:

  • Choose one final option to focus further efforts on,
  • Identify additional or altered requirements (emerging during the process of refining and externalizing the client’s vision),
  • Define the detailed scope of work.

Includes:

  • Space planning – preliminary functional layouts (usually three alternative solutions) with proposed changes to wall arrangements and the layout of all rooms,
  • Elevations (where helpful/necessary),
  • Mood boards, visual inspirations, colour palettes, and finishing materials proposals, interior arrangements (fixed and movable furniture, equipment, and appliances).

Considers and analyses:

  • Flow and transitions between spaces,
  • Functionality and ergonomics,
  • Visual continuity (in case of integrated spaces),
  • Spatial balance,
  • Perception and user experience of the new spatial configuration,
  • Collaboration with the team of specialists.


Objective: Consult with the client, obtain preliminary approval of the selected concept, and agree on the scope of changes.


If the project requires structural modifications to the building, such as changes to load-bearing walls or extensions, the client agrees to hire specialists responsible for ensuring the structural integrity of the building, compliance with regulations (building and safety codes), and preparing the necessary documents to obtain required permits. The client will cover all costs associated with these services, to be paid directly to the respective parties. The project schedule may be extended depending on the scale of modifications and administrative requirements.


Third Stage

Design Development. A meeting with the client to introduce possible final changes or finalize project approval.

This stage includes:

  • Finalized space plans reflecting changes to wall layouts and interior arrangements,
  • Visualizations or drawings illustrating the layout and concept,
  • Refinement of aesthetics – selection of colours and styles, forms, and design details,
  • A list of selected materials, furniture, lighting, and finishing details. Initial sketches of custom furniture,
  • A cost estimate – an approximate calculation of project costs based on approved solutions and materials, along with a budget assessment in the context of feasibility,
  • If necessary, collaboration with consultants to adapt the design to technical and regulatory requirements,
  • Preparation for the execution phase – creating a list of documentation and technical details to be developed in the next stage. Agreeing on a work schedule with the client and contractors.


Objective: Achieve full alignment between the design vision and the client’s expectations and lay a solid foundation for detailed technical documentation.


Completion of the
Design Development phase marks the transition from creative design to technical implementation. Final approval of the concept by the client and obtaining the required permits/approvals from authorities are prerequisites for beginning work on full execution documentation (Technical Documentation).



  

3. Technical Documentation


This stage involves the preparation of detailed technical documentation, integrated with consultants’ designs, which will serve as the foundation for the entire project execution. It acts as a "map" not only for construction teams but also for installers, carpenters, and other specialists, minimizing the risk of execution errors through precise descriptions and drawings containing technical details.


The documentation includes:

  • A new floor plan incorporating changes in wall layouts, such as demolition, relocation, or addition of walls, in line with the approved functional layout.
  • A functional layout detailing specific functional zones, spatial flow, and the placement of  selected and custom-designed furniture.
  • Plumbing Plan – a design of water and wastewater systems, including the location of water connections, drains, and the placement of radiators.
  • Electrical Plan – the layout of sockets, switches, power points, and other electrical components.
  • Ceiling Plan – a design for ceilings, including suspended structures, lighting points, and ceiling decorations.
  • Lighting Plan –  the arrangement of lighting points, their type and function within the space, and the placement of light switches, including their connections to the lighting points.
  • Flooring Plan – a design of floor finishes, their layout, and transitions between different surface materials.
  • Tile Layouts – detailed designs of tile layouts in wet rooms and other areas requiring such finishes.
  • Furniture and Cabinetry – designs for custom-built furniture and its integration into the space.
  • Painting and Wall Finishes – designs for wall painting and finishes, including paints, wallpapers, decorative plasters, mouldings, etc.
  • FF&E List and Technical Specification – a specification of furnishings, fixtures, and equipment (FF&E), detailing materials, dimensions, manufacturers, and prices.
  • Bill of Quantities (BoQ) – a quantitative calculation of construction materials and labour, prepared by a Quantity Surveyor.
  •  Schedule of Works: A detailed timeline outlining the sequence and duration of tasks. 


Objective: To ensure the seamless execution of the project.


The subsequent stages of cooperation (following stage 3), such as author supervision, conducting the final inspection with the client, and final interior finishing, are optional and subject to mutual agreement. Clients may choose to oversee these stages independently or delegate them to another professional, depending on their preferences and project requirements.




TERMS AND CONDITIONS  for Interior and Garden Design Services 


1. Introduction

These Terms and Conditions govern the use of services provided by Basia Design Ltd, a professional interior and garden design service ("we," "us," "our"). By using our website or engaging our design services, you ("Client") agree to the terms outlined below.


2. Services

We offer professional interior design and garden design services ("Services"). These services include, but are not limited to, conceptual design, space planning, decoration, renovation, and landscaping design.


3. Client Responsibilities

The Client agrees to provide accurate and complete information regarding the project requirements and any special requests. The Client is also responsible for ensuring that any third-party providers (contractors, suppliers, etc.) comply with the design specifications provided.


4. Fees and Payment

The fees for our services will be outlined in the proposal provided to the Client. Payments are due as per the agreed payment schedule. Invoices must be paid in full by the due date specified on the invoice. Late payments may incur additional charges.


5. Project Scope

The scope of each project will be clearly defined in the proposal and project agreement. Any changes to the project scope, including additional work or revisions, may result in additional charges. The Client will be notified and must approve any changes before work continues.


6. Intellectual Property

All intellectual property rights in the designs, drawings, plans, and other work produced by us remain the property of Basia Design until full payment for services is received. Upon full payment, the Client is granted a license to use the design for its intended purpose.


7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes design concepts, client details, and any other business-related information.


8. Termination

Either party may terminate the agreement with written notice if the other party breaches any of the terms and conditions outlined. In case of termination, the Client will be liable for payment for work completed up until the termination date.


9. Limitation of Liability

We shall not be held liable for any loss or damage resulting from the use of the designs, services, or any errors in the work provided. The Client acknowledges that the design services are subjective, and while we aim to meet the Client’s expectations, there may be variations.


10. Warranty

While we ensure that all designs and work meet industry standards, we do not offer any warranties or guarantees regarding the outcome of the project. Any defects or issues arising from the execution of the designs by third-party contractors are not our responsibility.


11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.


12. Changes to Terms

We reserve the right to modify or update these Terms and Conditions at any time. Any changes will be communicated to the Client through the website or other appropriate means. Continued use of the services after such changes signifies acceptance of the updated Terms and Conditions.

Return and Refund Policy

1. Product Returns

1.1. Products can be returned within 14 days of receiving the item, provided that they are in an unused, undamaged condition, and in their original packaging.

2.1. Upon receiving the returned product, we will inspect it for damages or discrepancies with the original order.

2.2. If the product meets the return conditions, a refund will be processed within 14 business days to the customer's original payment method, including the cost of shipping if the return is due to a damaged or incorrect item.
